These terms are between you and HMU, INC., which makes Nudgy. Using the app means you agree to them. Apple's standard Licensed Application End User License Agreement also applies; where the two differ, Apple's wins for anything about the App Store.

What Nudgy is

Nudgy listens to your day on your iPhone, with your permission, and suggests or does the next thing — reminders, notes, answers, research briefs, drafted replies. It is free today. If a paid option is ever added, its price is shown before you buy it, through the App Store.

Your part

Using Nudgy for good

When you sign this agreement in the app (your typed name is your signature), you promise to use Nudgy only for lawful, good purposes: never to secretly record, stalk, harass, spy on, or collect information about another person without their OK; never to record where people expect privacy or where recording is banned; and never to use what Nudgy makes to deceive or hurt anyone.

Researching people. Nudgy can put together a brief on someone in public or professional life from what they've published and what's been written about their work. It only covers public figures and professional context: it won't look up anyone's home address, phone number, family, relationships, health or private life; it won't find, follow or keep track of a person; and when someone looks like a private individual it stops at what's clearly public and professional, and says so. A Nudgy brief is not a consumer report: you agree not to use it to decide on anyone's employment, housing, credit or insurance (the Fair Credit Reporting Act), and Nudgy refuses to research someone for those purposes.

You're responsible for what you record

Nudgy is a tool you control: you decide where it listens and whom it hears. If your use of Nudgy breaks these terms or the law — for example, recording someone who didn't agree where the law requires it — you agree to defend and cover HMU, INC., and the people who work on Nudgy, against the claims, losses and costs (including reasonable lawyers' fees) that come from it.

Disputes: individual arbitration, no class actions

If you have a problem with Nudgy, write to us first — most things get fixed that way. If we can't resolve it within 60 days, you and HMU, INC. agree to resolve any dispute about Nudgy by binding individual arbitration under the American Arbitration Association's Consumer Arbitration Rules, instead of in court — except that either side may bring an individual claim in small-claims court. You and HMU, INC. each give up the right to a jury trial and to take part in a class action or class arbitration. You can opt out of this arbitration section within 30 days of first agreeing to these terms by emailing matthew.parkk0@gmail.com with your name and the words "arbitration opt-out". If any part of this section can't be enforced, the class-action waiver still applies to the rest, and a court decides only what arbitration can't.

Your content

What you say, and what Nudgy makes from it, is yours. You let Nudgy store and process it only to provide the app to you and, if you turn on Help make Nudgy better, to test changes with de-identified examples, as the Privacy Policy describes. Nudgy never uses it to train AI models. You can delete all of it at any time: Settings → Delete my account.

AI can be wrong

Nudgy's suggestions, summaries, answers and drafts come from AI models and can be incomplete or wrong. Check anything that matters before relying on it. Nothing is sent, paid, submitted or deleted on your behalf without your tap, and what you confirm is your decision.

Connected services

Google, GitHub, iMessage and the other services you connect have their own terms; Nudgy acts in them only for what you ask, and you can disconnect any of them in Settings.

No warranty

Nudgy is provided as it is, without warranties of any kind, to the extent the law allows. It can miss things, be unavailable, or change. To the extent the law allows, HMU, INC. isn't liable for indirect or consequential losses, and its total liability for anything to do with Nudgy is limited to what you paid for it in the last twelve months.

Ending

You can stop at any time and delete your account in Settings. Access can be suspended for anyone who breaks these terms or puts the service or other people at risk.

Changes and contact

If these terms change, the date above changes and the app says so. These terms are governed by the laws of the State of Texas, USA, except where your local law says otherwise. Questions: matthew.parkk0@gmail.com.
